1. Eligibility: The Bring Your Chefs Touch to The Table (“Sweepstakes”) is only open to legal residents of the contiguous United States excluding Alaska and Hawaii (including Washington D.C.) who are at least eighteen (18) years of age or older at the time of entry. Employees, contractors, officers, directors and agents of Riviana Foods Inc. (“Sponsor”), its affiliates, subsidiaries, advertising or promotion or judging agencies, distributors, sales representatives, and suppliers, (collectively the “Promotion Parties”), and immediate family members (defined as including spouse, biological, adoptive and step- parents, grandparents, siblings, children and grandchildren and each of their respective spouses, regardless of where they reside) and/or those living in the same household (whether related or not) of Promotion Parties and their employees are not eligible to participate in the Sweepstakes. Void outside the contiguous United States and where prohibited by law. Winning a Prize is contingent upon fulfilling all requirements set forth herein. Subject to all applicable federal, state, and local laws and regulations.

2. TO ENTER: Beginning at 12:00:00 PM Central Daylight Time on November 3^rd, 2022, through 12:00:00 AM Central Daylight Time on November 17^th, 2022 (the “Sweepstakes Period”), entrants must take the following actions to receive one (1) Entry into the Sweepstakes. During the Sweepstakes Period, your Instagram account must be set to “public” and able to receive direct messages to participate. Entries received before or outside of the Sweepstakes Period will not be eligible to win the stated Prize (as defined below). Sponsor’s clock is the official clock for the Sweepstakes.

Participation Requirements: You must have a personal Instagram account to participate in this Sweepstakes. You may not use a corporate or shared Instagram account. If you do not have an Instagram account, you make open one for free at Instagram.com (“Social Account”). When you create a Social Account, you are indicating that you (or your parent or legal guardian if you are deemed a minor in the jurisdiction in which you reside (“Minor”)) have read and agree to accept the Terms of Use and Privacy Policy for the Social Account. If you use your wireless mobile device to enter, standard message and data rates may apply. Please consult your wireless-service provider regarding its pricing plans prior to entering via your wireless mobile device. None of the Promotion Parties shall be responsible for any message or data rate charges which may apply. A wireless mobile device is not required to enter the Sweepstakes.
Entry Requirements: During the Sweepstakes Period undertake the entry actions specified in (a) and (b) and comply with (c) to receive one (1) Sweepstakes entry (“Entry”):

(a) Follower of the official @riceselect profile on Instagram.

(b) During the Sweepstakes Period, (1) like the Sweepstakes post (the “Post”) and (2) Comment the name of your go-to rice recipe in the comments section associated with the Post that includes “#AChefsTouch” and “#sweepstakesentry” (“Comment”).

(c) Your Comment must also comply with the General Rules stated below in Section 7.

Upon satisfactorily completing the foregoing actions (at Sponsor’s discretion), an eligible individual is deemed an “entrant” for purposes of the Sweepstakes and will receive one (1) Entry into the Sweepstakes subject to these Official Rules. Failure to comply with any of the above requirements or the Official Rules will result in disqualification of you and your Entry.

Limit: You may only receive up to one (1) entry during the entire Sweepstakes Period.

By posting your Entry on Instagram you warrant and represent that the Entry (including the Comment and any other content included): (i) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (ii) does not include reference to any other individuals unless entrant has consent to include these other individuals in his/her Entry into the Sweepstakes. as described and contemplated by these Official Rules. Furthermore, entrant must comply with Instagram rules or conditions for using the Instagram platform (as applicable, including, without limitation, the Instagram Terms of Use and Privacy Policy). You will indemnify and hold harmless the Promotion Parties, from and against any claims to the contrary.

POSTED CONTENT REPRESENTS SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANTS AND DOES NOT REFLECT THE VIEWS/OPINIONS OF ANY OF THE PROMOTION PARTIES IN ANY MANNER.

3. Prize: One (1) winner (“Winner”) will receive one (1) 12 Piece Executive Culinary Set (“Prize”). Sponsor (in its sole discretion) reserves the right to substitute a Prize of equal or greater value if the advertised Prize becomes unavailable. The Prize is non-transferable. All federal, state, and/or local taxes and any expenses related to or resulting from acceptance and use of the Prize, if any, shall be the sole responsibility of Winner. Prize consists of only those items specifically stated as part of the Prize. All expenses and costs associated with the acceptance or use of the Prize that are not expressly specified in these Official Rules as being part of the Prize are the sole responsibility of the Winner. No substitution or transfer/assignment or exchange of Prize to others or request for the cash equivalent by Winner is permitted. For clarity, the winner agrees that the Prize is personal to the Winner and may not be sold, resold, auctioned, bartered, placed in commerce, given away, donated, or otherwise conveyed. Prize will be fulfilled by mail within approximately 8-10 weeks following the conclusion of the Sweepstakes Period and verification of Winner’s eligibility and compliance with these Official Rules.

Total approximate retail value of each Prize is:

Winner acknowledges that Promotion Parties have not made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any Prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a Prize (if any) are subject to the respective manufacturers’ terms therefore, and the Winner agrees to look solely to such manufacturers for any such warranty and/or guarantee.

4. Odds: The odds of winning depend on the number of eligible Entries received and that qualify for the random drawing as described below in Section 5.

5. Sweepstake Drawing and Notification: On or about [11/18/22], Elemental Inc. (“Administrator”) will select the potential Sweepstakes Winner by a random drawing from among all eligible Entries during the Sweepstakes Period. The Administrator’s decisions as to the administration and operation of the Sweepstakes, including but not limited to the selection of the potential Winner are final and binding. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL PARTICIPANT’S ELIGIBILITY AND COMPLIANCE WITH THE OFFICIAL RULES HAVE BEEN VERIFIED AND PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. The potential Winner will be notified by @RiceSelect via Instagram Direct Message on the Social Account used to enter within five (5) days following the drawing and will be directed to provide their first name, last name, e-mail address, home mailing address and confirm their age within three (3) days of the date of notice in order to claim the Prize. Next, the potential Winner is required to complete and return a Declaration and Release, which will be delivered to the potential Winner by e-mail, within seven (7) days of receipt to claim the Prize. Sponsor shall have no liability for a potential Winner’s failure to receive notices or the Declaration and Release due to spam, junk e-mail or other security settings or for potential Winner’s provision of incorrect or otherwise non-functioning contact information. If: (a) the potential Winner cannot be contacted, is ineligible, or fails to provide any requested information within the required time period including timely completion of the Declaration and Release, (b) a Prize/Prize notification is returned as undeliverable, or (c) the potential Winner does not comply with these Official Rules in any way, the potential Winner will be disqualified and will forfeit the Prize. Failure to comply with any term or condition in these Official Rules may result in disqualification at Sponsor’s sole discretion. In the event that the potential Winner forfeits the Prize or is disqualified for any reason, Sponsor may award the Prize to an alternate potential Winner by random drawing from among all remaining eligible Entries received. Sponsor may limit the number of attempts to award a Prize to two (2) attempts.

6. Rights Granted by You: By entering the Sweepstakes, you understand and agree that, and grant to, Sponsor and the Promotion Parties, anyone acting on behalf of Sponsor, and Sponsor’s licensees, successors, and assigns, the perpetual right, license and consent, where permitted by law, to use and refer to the participant, print, publish, broadcast, distribute, reproduce and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, your Entry, name, portrait, picture, voice, likeness, image, distinctive characteristics, city, state, Instagram handle, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, editorial, and promotional purposes without any compensation to you or notice, review, consideration further notification, or consent from you. If requested, entrant will sign and return a publicity release and such other documents as may be required pursuant to these Official Rules.

7. General Rules: By entering this Sweepstakes or accepting a Prize, entrants (or their parents/legal guardians if entrants are Minors) accept and agree to these Official Rules and decisions of the Administrator, which shall be final in all matters relating to the Sweepstakes. Other than required hashtag(s), any content included in your Entry must be your original work, created only by you. You must have permission to include any reference to or image of any other person in your Entry. If requested, entrant must be able to provide such permission in a form acceptable to Sponsor. Your Entry cannot include any text or photo that is deemed by Sponsor, in its discretion, to (a) be sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain or reference nudity or any materially dangerous activity; (b) promote alcohol, marijuana, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) be obscene or offensive, endorse any form of hate or hate group; (d) contain trademarks, logos (except Sponsor’s, which are not required to be included) or trade dress owned by others, or advertise or promote any brand or product (except Sponsor’s, which are not required to be included) of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (e) contain copyrighted materials owned by others without sufficient permission; (f) contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without sufficient permission, (g) disparage the Sponsor, its products, or any other person or party affiliated with the promotion and administration of the Sweepstakes. The above list is not meant to be exhaustive. Any Entry which, in the sole opinion of the Sponsor, is deemed to be inappropriate for publication or inclusion in the Sweepstakes for any reason, will be disqualified. If, in the opinion of Sponsor, there is any suspected evidence of tampering with any portion of the Sweepstakes that may compromise the integrity of the Sweepstakes or any virus, bug, non-authorized human intervention, fraud or other cause beyond Sponsor’s control that affects the administration, security, fairness or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes. In such a case, Sponsor may select the potential Winners from all eligible Entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Use of any robotic, automatic, programmed, or similar Entry method will void your Entry and result in disqualification. Any attempt by any individual to exceed the above-indicated Entry limit by using multiple/different e-mail or IP addresses, Instagram accounts, identities, or any other methods will void that individual's Entry(ies) and that individual will be disqualified from the entire Sweepstakes. All Entries must be received during the Sweepstakes Period. In the event of dispute as to the identity or eligibility of a potential Winner, the winning Entry will be declared to be made by the "Authorized Account Holder" of the Instagram account used to enter the Sweepstakes, provided he/she is eligible according to these Official Rules. The “Authorized Account Holder” is the natural person assigned to a social media account by an Internet access provider, online service provider or other organization responsible for assigning social media accounts for the domain associated with the email address used to register the Instagram account. The potential Winner may be required to show proof of being the Authorized Account Holder of the Instagram account associated with the winning Entry.

CAUTION: Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from such entrant to the fullest extent permitted by law.

8. Release and Limitations of Liability: By participating in this Sweepstakes, all entrants agree that Sponsor, Administrator, Instagram Inc., and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, web site providers, web masters, and each of their respective officers, directors, employees, representatives and agents (collectively, the “Released Parties”) are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, by any of the equipment or programming associated with or utilized in the Sweepstakes, or by the Instagram social media platform; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Entry process or the Sweepstakes.; or (d) technical or human error which may occur in the administration of the Sweepstakes. BY PARTICIPATING IN THE SWEEPSTAKES, ALL ENTRANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS, FOR ANY AND ALL LIABILITY FOR ANY ILLNESS, INJURY, DEATH, LOSS, LITIGATION, CLAIM, OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, WHETHER CAUSED BY NEGLIGENCE OR NOT, FROM: (I) ENTRY OR PARTICIPATION IN THE SWEEPSTAKES, (II) ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE OR ANY PORTION THEREOF; (III) ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY OR PRIZE DELIVERY.

WITHOUT LIMITING THE FOREGOING, TO THE EXTENT ALLOWED BY APPLICABLE LAW EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZE, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Governing Law, Dispute Resolution, Order of Precedence, Severability: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF THE ENTRANT AND SPONSOR IN CONNECTION WITH THE SWEEPSTAKES OR ANY PRIZE, SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF TEXAS, WITHOUT RESPECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES (WHETHER OF THE STATE OF TEXAS OR ANY OTHER JURISDICTION), WHICH WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE STATE OF TEXAS. As a condition of participating in the Sweepstakes, except where prohibited, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes, or with the Prize, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of Texas or the appropriate Texas state court located in Harris County, Texas; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (c) under no circumstances shall entrant (or his/her parent/legal guardian if entrant is a Minor) be permitted to obtain awards for, and entrant (or his/her parent/legal guardian if entrant is a Minor) hereby waives all rights to claim indirect, punitive, incidental, and consequential damages and any other damages, including but not limited to reasonable attorney’s fees, other than for actual out-of-pocket expenses (i.e. costs associated with entering the Sweepstakes), and any and all rights to have damages multiplied or otherwise increased. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes -related materials or notifications and these Official Rules, these Official Rules shall prevail, govern and control. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed as if the invalid or illegal provision were not contained herein.
